PUBLISHER - DISTRIBUTOR - END CLIENT
Terms and conditions of distribution and partnership in a specific territory. Purchase, fulfilment of order and delivery of Eurocert documents in relation to the Distributor, the Customer and the Publisher.

The Publisher is Eurocert Limited - (headquartered and registered in the UK under company number 10252248), hereinafter referred to as The Publisher. The Publisher of Eurocert documents carries on a business whereby it supplies documents stating, verifying, informing and certifying vehicle information. Usually these documents are Eurocert branded paper, bearing anti-forgery security features and/or electronic documents, always referring to a vehicle type or model, or specific vehicle. But sometimes they are documents issued by vehicle manufacturers or independent vehicle specialist organisations sanctioned by the UK DVLA. These are documents that have been commissioned, got or bought from a third party supplier by Eurocert. All these document types are supplied to business customers (B to B) and private vehicle owners (B to C).

The Sale and distribution of Eurocert documents to any and each and every, whom so may be called a Customer in the EU member state of Ireland ( described alternatively as the Consumer, the End Client, or - the Paying Customer) may be direct from the Publisher (whereupon, a customer purchases from the Publisher through its website or by telephone or another method), or The Distributor (see details below), or the Publisher on behalf of the Distributor, which may be direct or indirect.

The Distributor in the EU member state of Ireland

The Distributor is [****************], [****************], [****************]. The nature of the agreement and relationship between the Publisher and the Distributor is one of customer and supplier. The Distributor is the customer of the Publisher, and the Publisher is the supplier. The Distributor purchases documents from the Publisher and resells to its customers, and the latter are the end clients (consumers and business customers).

Responsibilities of the Distributor
The Distributor was chosen due to an awareness and acceptance of the responsibility to ensure correct and proper vehicle information is given to the Publisher for the Publisher's publication of or commissioning of documents. Furthermore, the Distributor is committed to ensuring that no documents emanating from the Publisher are used for false purposes or tampered with, in so far as it is possible to do so.
The Distributor agrees to notify the Publisher as soon as possible and/or the appropriate authorities in the event that such an activity or ocurrence of wrongdoing by one of its customers is observed by the Distributor.

The Distributor agrees to notify the Publisher as soon as possible and/or the appropriate authorities in the event of a security or privacy breech.

The Distributor agrees to notify the Publisher as soon as possible and/or the appropriate authorities in the event of a transaction between the Distributor and End Client, whilst acting on behalf of the Publisher, being suspected of contravening the Money Laundering Regulations, whether UK or EU regulations.

Responsibilities of the Publisher
The Publisher has carried out its own private due diligence in assessing the Distributor as a person who understands the responsibility of data protection and the privacy of customers. The Distributor was found to have a professional reputation and is committed to a high level of business trading standards.
The Publisher has sought to form this contractual agreement whereby it is overtly stated that the Distributor agrees to notify the Publisher and/or the authorities in the event that such an activity or ocurrence of wrongdoing by one of its customers is observed by the Distributor.

EVALUATION OF RISK AND PREVENTION OF FRAUD AND MISREPRESENTATION OF DATA
In the event of a published Eurocert document having been found to contain an error or mistake, the document should be marked immediately as VOID and returned to the Publisher for rectification of said mistake.

In the event of discovery that a Eurocert document has been tampered with, altered or fraudulently used for a purpose not for which it was intended, the Publisher shall inform the appropriate authorities and take action against the perpetrator of the wrongdoing.

In the event of discovery that a Eurocert document has been published using data given or stated by the Distributor, which is found to have been incorrectly stated to the Publisher, the distribution contract shall be immediately suspended, pending an enquiry as to whether the misinformation was accidental or purposeful. A meeting shall be called in person or by ZOOM for the next available working day to investigate the discrepancy. If found to be purposeful and thereby dishonest, the Distribution contract with the Distributor will be terminated forthwith.

REFUND POLICY AND HOW REFUNDS ARE IMPLEMENTED
For sales of Eurocert products by The Distributor to its End Clients, all matters relating to refunds remain between the Distributor and the End Client. The financial relationship between The Publisher and Distributor is only with the latter being a customer of the former. Financial transactions between the two is no more than that. The Publisher is not responsible for refunds or financial claims made by the End Client resulting from orders or payments given by them to The Distributor.
